PAD Aviation and TransMedics: How a Transatlantic Deal Lays the Foundation for a European Transplant Logistics Network

Sometransactions are about market share, synergies and valuations. Others gofurther and create an immediate benefit for society. The strategic investmentby Nasdaq-listed US medical technology company TransMedics Group, Inc. (Nasdaq:TMDX) in PAD Aviation Service GmbH clearly belongs in the second category. Itlays the foundation for the first dedicated European air and ground logisticsnetwork for organ transplantation – an undertaking that can ultimately helpsave lives.

The Middelhoff Groupadvised PAD Aviation throughout this process and supported the negotiations throughto a successful close.

The deal at a glance

After theplanned investment was first announced in April 2026, the transaction has nowbeen successfully completed. TransMedics, a global leader in portableextracorporeal warm perfusion and the assessment of donor organs, is making astrategic investment in one of Europe's leading business aviation operators.

The purpose ofthe investment goes well beyond a classic capital participation. Together, thetwo companies intend to build a pan-European logistics network for organtransplantation. The goal is to replicate TransMedics' already successful USOCS NOP model in Europe, expand the adoption of OCS perfusion technology, andsupport transplant activity across the entire European Union. At its core, theambition is to broaden access to donor organs and increase the number ofsuccessful transplants for patients throughout Europe.

Why logistics can be a matter of life anddeath in transplant medicine

In transplantmedicine, time is the single most critical factor. The window between theretrieval of a donor organ and the transplant itself is narrow, and everyminute counts. This is precisely where the collaboration between the twocompanies comes in.

With its OCS(Organ Care System) technology, TransMedics has developed a solution that keepsdonor organs outside the body in a warm, perfused state, preserving theirquality and allowing their viability to be assessed prior to transplantation. This not only extends the available time window but also has the potential toincrease the number of usable donor organs for the treatment of end-stageheart, lung and liver failure. Headquartered in Andover, Massachusetts, thecompany was founded to address the unmet need for organs for transplantation.

What makes thistechnology effective at scale is the right logistics, and that is where PADAviation comes in.
